Choose your State

All Corporations and LLCs are formed on the state level at a state agency that handles new filings (usually a Secretary of State or State Corporation Commission). The state in which you form (AKA Formation State) is your choice.

Download, Prepare & Submit to State

Now we are at the most crucial step. Besides making sure your entity name is available in your state, you must decide who is in charge, choose a registered agent, download the right form (or open the correct online form), fill in all the blanks correctly, submit to the state for processing, follow-up if they are behind, verify the filing was completed correctly and then, store your approved docs in your “corporate” records.

Post-Filing Requirements

Initial Corporate or LLC Actions

Even though your Corporation or LLC is already filed and you have taken care of any immediate post-filing requirements with your state, now is the time to set up the structure of your entity.  This is most important regardless of state; whether you have an LLC or INC; whether you have one owner or many; and whether your business is going to be large or small.

Obtain EIN

Your INC or LLC’s EIN or Employer Identification Number is like your personal social security number or bar code for your entity. It is most commonly referred to as a Federal Tax ID Number. Even if your entity is not going to hire employees, it will need one as it is used for all sorts of things, including bank accounts, vendor accounts, and sometimes state tax identification.

Ongoing INC & LLC Compliance

Although your INC or LLC may now be properly set up, completed its post-filing requirements, completed all its initial actions, obtained its EIN, opened its bank account, there are still other things to consider this year and every year after words if you plan to keep your corporation “active” or compliant with your state’s rules.
